CANON BUSINESS ID TERMS OF USE

The Terms of Use (the "Terms") are a binding agreement between Canon Europa N.V. (Company Registration Number: 33166721; VAT Registration Number: NL005916343B01, Contact address: www.canon-europe.com) (“Canon”) and the entity registering for a Business ID Account ( “Company”, "you" or "your"), and Business Account for an organisation which govern your use of the "Business ID" defined in Article 1 hereof.

Canon reserves the right to modify the Terms at any time at its sole discretion. When the Terms are modified, Canon will post the modified Terms on its portal site and notify you of such modification. If you do not agree to the modified Terms, you will be able to delete your Business ID account.

1. Definition of the Business ID

The "Business ID" is your account that enables you to use variety of Canon websites, apps, platforms and services ("Services"). Services may have their own terms of use that you will need to agree separately.

2. Business Account

2.1. By creating a Business ID Account, you represent that (i) the individual acting on behalf of the Company has the authority to create a Business Account for a Company, (ii) to bind the Company, (iii) the Company has all requisite right, power, and authority to enter into, perform its obligations under, and grant the rights and authorizations in the Agreement, and (iv) the Company is an Eligible Entity. "Eligible Entities” include all types of businesses (for example, corporations, partnerships, sole proprietorships, and cooperatives), all types of governmental entities (central, local, and quasi-governmental entities, public institutions such as a public schools and hospitals), and all types of non-profit organisations. The individual creating an account on behalf of the Company will be assigned role of a Super User.

2.2. Business Account will be created for your organisation. You may authorize others to create a User Account associated with your Business Account. You are responsible for all activities that occur under your Business Account and any associated User Accounts, and must ensure your Users comply with the Acceptable Use Policy and this Agreement. You are responsible for maintaining the security of the passwords associated with your Business Account and User Accounts; if you believe an unauthorised person has access to your password, Business ID Account, or an associated User Account, you must contact us immediately and change any compromised passwords.

2.3. On registration, You shall provide Us with certain business related up to date information, including Your full name, function/role, company/organization and employee e-mail address, all of which must be accurate, truthful and up- to-date. We shall verify Your registration information and issue a password to You. We reserve the right to deny creation of Your account for any reason.

2.4. Canon expects that you will enter the accurate, current and complete information required by us, including your e-mail address and password. You must not use an e-mail address that you are not authorized to use and is unavailable for Canon to contact you. Canon will not be liable for any damage or loss that you may suffer in case if you enter wrong information or forget to update it.

2.5. You shall be solely responsible for maintaining the confidentiality of Your password. Notwithstanding anything else herein, We reserve the right to pursue any and all claims against You and any user of Your account. Your account is valid only while You are employed by the organization listed on Your initial registration application. You are prohibited from accessing Your account immediately upon termination with that organization.

2.6. You shall notify Us as soon as possible (i) if You are granted access to information which You do not, acting reasonably, believe that You should, due to Your function/role/company/organization, have access to and/or (ii) if You become aware that someone within Your company/organization has been granted access to information which You do not, acting reasonably, believe that they should, due to their function/role, have access to.

3. Roles and Permissions

3.1. Superuser permissions include but not limited to Manage Business account information, create/invite/disable/request reset of password for User accounts, approve/reject requests and use of Entitlements, approve/reject quotes, manage any subscriptions and access to services and others.

3.2. Access to Services/Propositions is granted to a company as a whole, not specific users and will be applied to superusers automatically.

3.3. Superuser may grant/ remove access to services for users. It can be equal or less than Company has, but never more.

User permissions include but not limited to view Business account information, raise requests, request use of entitlements.

4. Company Information

We require you to provide information about your organisation so that we can verify Business Status, about you and Users to access and use Business Account. You will ensure that all information that you provide to us is at all times accurate and complete. We may use and share information you provide (for example, your organisation’s name, addresses, VAT Number) with others in your organisation and third parties to confirm the accuracy of such information and your eligibility to use Business Account or certain services (for example, to confirm you hold a valid license, certification, or credential where required).

5. Payment terms and credit limit

During set up of Business Account for your company, you will be able to select preferred payment method. In case you would like to change this later, you would need to contact Canon support at https://www.canon-europe.com/contact_us/

Upon validation of the Business Account for your Company a Credit limit may be set and you will be informed accordingly. Credit limit is subject to change at any time without prior notification.]

6. Personal Data

Canon shall use your personal data in accordance with Canon Business Customer Privacy Policy https://www.canon-europe.com/privacy/privacy-notice/

7. Canon's Termination of Account

Canon may terminate your account for the Business ID, at any time, without prior notice to you if:

(1) you do not comply with these Terms and/or the terms of the Service;

(2) there is request by a court of law, government agency, competent supervisory agency or other official body in accordance with law or regulation;

(3) there is unexpected technical or security problem arising from or in connection with the Business ID and/or the Service;

(4) Canon is unable to contact you by your registered e-mail address; or

(5) Canon finds your use of the Business ID and/or the Service to be inappropriate for any reason.

In the event of termination of your account, you will not be able to use all or part of the Business ID and/or the Service. Canon will not be responsible to you or any third party for any damage or loss that you or the third party may suffer because of such termination and unavailability of all or part of the Business ID and/or the Service.

8. Your Cancellation of Account

You may cancel your account at any time in accordance with the procedure designated by Canon.

9. Prohibited Activities

You agree that you will not use the Business ID to:

(1) process any content that is unlawful, harassing, threatening, harmful, tortious, defamatory, libellous, abusive, violent, obscene, vulgar, invasive of another's privacy, hateful, racially or ethically offensive or otherwise objectionable;

(2) engage in any act that violates any law, regulation, guidance, rule, order, treaty or public order;

(3) engage in infringement of copyright, trademark, patent, trade secret or other intellectual property rights;

(4) engage in infringement of privacy rights or any other legal or moral rights of another person;

(5) process lewd images, child pornography, images of child abuse or any other similar images;

(6) process information encouraging war, racial discrimination, religious persecution, human trafficking, prostitution, violence, brutality or drug use;

(7) design, develop or manufacture weapons of mass destruction or engage in terrorism or other military acts;

(8) engage in any acts linked to crimes such as obstruction of business or fraud;

(9) stalk, harass, threaten or harm another;

(10) impersonate or misrepresent yourself with another person or entity or otherwise misrepresent your affiliation with the affiliation of another person or entity;

(11) process viruses or any other computer code, files or programs designed to harm, interfere or limit the normal operation of the Business ID;

(12) violate the security of the Business ID through hacking, password mining or other means;

(13) interfere with or disrupt the Business ID, or any servers or networks utilized for the provision of the Business ID, or any policies, requirements or regulations of networks utilized for the provision of the Business ID; or

(14) engage in other action which Canon deems inappropriate.

10. Disclaimer of Warranty

THE BUSINESS ID AND THE SOFTWARE TO BE USED FOR THE BUSNESS ID IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CANON MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE PROVISION AND OPERATION OF THE BUSINESS ID AND THE SOFTWARE TO BE USED FOR THE BUSINESS ID. THE USE OF THE BUSINESS ID AND THE SOFTWARE TO BE USED FOR THE BUSINESS ID IS AT YOUR OWN DISCRETION AND RISK, AND YOU ARE FULLY RESPONSIBLE FOR ANY AND ALL DAMAGES OR LOSSES ARISING FROM OR IN CONNECTION WITH THE USE OF THE BUSINESS ID AND THE SOFTWARE TO BE USED FOR THE BUSINESS ID BY YOU, AND CANON SHALL NOT BE RESPONSIBLE FOR THEM.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CANON EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, COMPATIBILITY OF THE BUSINESS ID WITH SPECIFIC USES OR PURPOSES AND NON-INFRINGEMENT OF INTELLECTUAL PROPERTIES. CANON MAKES NO WARRANTY THAT (1) THE BUSINESS ID WILL MEET YOUR REQUIREMENTS, (2) YOUR USE OF THE BUSINESS ID WILL BE UNINTERRUPTED, TIMELY OR SECURE, OR (3) DEFECTS IN THE BUSINESS ID WILL BE CORRECTED. FURTHER, CANON MAKES NO WARRANTY TO THE RESULT OF YOUR USE OF THE BUSINESS ID AS TO THE ACCURACY AND RELIABILITY THEREOF.

11. Limitation of Liability

You shall only use the Business ID after understanding and accepting that due to limitations to the security used by the Business ID, no security for the Business ID can be guaranteed in your use of the Business ID. Canon shall not be liable to you for any of such insecurity or associated consequences.

TO THE EXTENT PERMITTED BY THE APPLICABLE LAW, CANON SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, GOODWILL, USE, DATA OR TIME, BUSINESS INTERRUPTION OR OTHER LOSSES, EVEN IF CANON HAS BEEN ADVISED OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES, ARISING FROM OR IN CONNECTION WITH THE BUSINESS ID, INCLUDING, BUT NOT LIMITED TO, YOUR USE OR INABILITY TO USE THE BUSINESS ID OR THE RESULT OF YOUR USE OF THE BUSINESS ID, WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT, STATUTE OR ANY OTHER LEGAL THEORY.

12. Exclusion to Disclaimer and Limitation of Liability

Some jurisdictions may not permit the exclusion of certain warranties or the limitation of liability for certain damages. As such, to the maximum extent permitted by applicable law, such exclusions or limitations shall apply.

13. Indemnification

You agree to indemnify, defend and hold harmless Canon, its subsidiaries, affiliates, and subcontractors from and against any and all claims, liabilities, damages, losses, costs, expenses or fees (including reasonable attorney's fees) arising from or in connection with use of the Business ID by you (or anyone using your account), or violation of the Terms by you (or anyone using your account).

14. Modification, Suspension, Assignment and Termination of the Business ID

Canon reserves the right to modify, suspend, assign to a third party or terminate the Business ID as well as the right to add, modify, or terminate the Services at any time, at its sole discretion, without prior notice to you. Canon shall not be liable for any damage or loss incurred by you or any third party due to the modification, suspension, assignment or termination of the Business ID.

15. Disclosure

Canon may disclose any information Canon receives through the Business ID if required to do so by a court of law, government agency, competent supervisory agency, or other state authority of the relevant jurisdiction. Canon will not be liable for any damage or loss incurred by you due to such disclosure.

16. Service Communications

You agree that you receive service notices from Canon by e-mail site.

17. No Waiver

The failure of Canon to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision.

18. Severability

If any part of the Terms is held invalid or unenforceable, you agree that such part shall be construed in a manner consistent with applicable laws to reflect the original intention of Canon and you and that it shall not affect the validity or enforceability of any other terms or rights which shall remain in full force and effect.

19. Survival

Notwithstanding any termination of your use of the Business ID, the Terms shall remain in full force and effect.

20. Governing Law and Jurisdiction

To the extent permitted by law, the Terms are governed by the laws of England and Wales and any lawsuits arising or related to the Terms or your use of the Business ID shall be submitted to the non-exclusive jurisdiction of the courts of England and Wales.

21. Entire Agreement

The Terms together with the Business Customer Privacy Policy constitute the entire agreement and understanding between you and Canon regarding the Business ID.
